Martyna Szczygielska is an advocate and a licensed restructuring advisor. She has over nine years of professional experience gained at Warsaw-based law firms advising corporate clients, including more than six years of specialised practice in corporate law, commercial transactions, and mergers and acquisitions. Her areas of expertise include corporate and commercial law, M&A transactions, private equity and venture capital investments, intellectual property law, restructuring law, and corporate compliance.
She advises clients on both day-to-day and strategic business decisions, with particular emphasis on structuring complex equity transactions, acquisitions of shares and interests, financing companies at various stages of development, and corporate group reorganisations. She has been involved in M&A transactions including acquisitions of fashion brands, where transaction structures combined the acquisition of trade marks with the purchase of operating companies, as well as financing rounds for technology companies involving venture capital funds. Her transactional work covers the full deal cycle, from legal due diligence (LDD), through the negotiation of term sheets, investment agreements, share purchase agreements (SPAs) and shareholders’ agreements, to the preparation and completion of closing documentation.
Martyna provides comprehensive ongoing corporate advice to companies, alternative investment companies (ASIs), foundations – including family foundations – and associations. She advises on corporate governance, shareholder relations and corporate disputes, including disputes between shareholders or partners, as well as matters involving registration proceedings.
In the field of intellectual property law, she manages clients’ trade mark portfolios, advises on IP protection strategies in Poland, the European Union and global markets, and represents clients before the European Union Intellectual Property Office (EUIPO). She negotiates and drafts intellectual property agreements, including agreements for clients in the media and IT sectors, with transaction values ranging from tens of thousands to several million Polish zlotys.
Her qualifications as a licensed restructuring adviser enable her to combine a transactional perspective with advice on the financial restructuring of debtors and the protection of creditors’ interests, including in proceedings conducted under the Polish Restructuring Law.
She also supports clients in implementing compliance frameworks relating to anti-money laundering (AML), know-your-customer (KYC) procedures, personal data protection under the GDPR, and whistleblowing procedures. She advises businesses operating in sectors including e-commerce, IT and new technologies, media and digital content, fashion and retail, as well as the financial and investment sectors.
